Please read these terms carefully before using our services
1. Introduction & Parties
These Terms and Conditions ("Terms") govern the relationship between Rawasi ("we," "us," "the Service Provider") and any client ("you," "the Client") who purchases or uses Rawasi's services. By making a payment or using the platform we provision for you, you acknowledge that you have read, understood, and agreed to these Terms.
Rawasi is operated by an individual based in Egypt under a trade name, and all services are governed by the laws of the Arab Republic of Egypt.
2. Services Provided
Rawasi provides custom-built learning management system (LMS) platforms for tutors, trainers, and academies. Services include:
- Setup and customization of a dedicated LMS platform tailored to your requirements.
- Ongoing technical hosting and maintenance for the duration of your active subscription.
- Direct support via WhatsApp during agreed business hours.
- Optional course payment processing on your platform via a third-party payment gateway (Kashier), where applicable under your plan.
The exact scope of services is agreed upon individually with each client prior to payment. Any features or customizations agreed upon verbally or in writing (including WhatsApp) form part of the service agreement.
3. Subscription, Pricing & Payment
3.1 Plans
Services are available on monthly or annual subscription plans. Pricing is communicated to each client individually and confirmed before payment is made.
3.2 Payment Method
During the current phase of operation, all subscription payments are collected manually via Vodafone Cash or bank transfer (Instapay). Payment details will be provided to you directly. A payment confirmation will be sent upon receipt.
3.3 Renewal
Subscriptions do not renew automatically. You will be notified before your subscription period ends. Continued use of the platform after the subscription period without renewal may result in suspension.
3.4 Suspension for Non-Payment
If a subscription is not renewed within 7 days of its expiry date, the platform may be temporarily suspended. If payment is not received within 30 days of suspension, we reserve the right to permanently deactivate the platform and delete associated data. We will make reasonable efforts to notify you before any data deletion.
4. Course Payments (Kashier)
On certain plans, Rawasi facilitates course payment collection on your LMS through Kashier, a licensed Egyptian payment gateway. Under this arrangement:
- You, as the LMS owner, authorize Rawasi to use its Kashier account to collect course payments on your behalf, as a technical service.
- Collected funds are disbursed to you manually (via bank transfer or Vodafone Cash) on an agreed schedule, minus any applicable plan fee (0% or 5% depending on your plan).
- Rawasi acts solely as a technical operator in this process and is not a financial institution or licensed payment intermediary.
- You remain solely responsible for the pricing, delivery, and quality of any courses sold through your platform.
- Rawasi is not liable for any disputes between you and your students regarding course content, outcomes, or refunds owed to students.
5. Client Responsibilities
- You are responsible for all content uploaded or published on your platform, including courses, materials, and communications with students.
- You must not use the platform for any purpose that is unlawful under Egyptian law or the laws of your country.
- You must not share administrative login credentials with unauthorized third parties.
- You are responsible for obtaining any necessary licenses or permits related to your educational activities.
- You must ensure that your use of the platform complies with applicable consumer protection and data privacy laws.
6. Intellectual Property
- The Rawasi platform, its underlying software, design, and branding are the intellectual property of Rawasi's operator.
- You retain full ownership of all content and data you create or upload on your platform.
- You grant Rawasi a limited license to host and display your content solely for the purpose of providing the service.
7. Limitation of Liability
To the maximum extent permitted by applicable Egyptian law:
- Rawasi is not liable for any indirect, incidental, or consequential losses arising from your use of the platform, including loss of revenue, student complaints, or data loss caused by events outside our control.
- Rawasi does not guarantee any specific educational or commercial outcomes from using the platform.
- Our total liability to you for any claim shall not exceed the total subscription fees paid by you in the 3 months preceding the claim.
- We are not liable for service interruptions caused by third-party infrastructure providers (hosting, payment gateways, etc.).
8. Service Availability & Maintenance
We aim to maintain platform availability at all times but do not guarantee 100% uptime. Scheduled maintenance will be communicated in advance where possible. Rawasi is not liable for downtime caused by factors outside our reasonable control, including hosting provider outages or internet infrastructure issues.
9. Refund Policy
9.1 LMS Subscription Fees (Paid to Rawasi)
Because each LMS platform is custom-built specifically for you, significant setup work begins immediately upon payment. Therefore, the following refund terms apply:
- Before setup begins: If you request a cancellation before we begin any work on your platform, you are entitled to a full refund.
- Within 7 days of platform delivery: If the delivered platform materially fails to match what was agreed upon and we are unable to resolve the issue within a reasonable time, you may request a partial refund of up to 50% of the subscription fee paid.
- After 7 days of platform delivery: No refunds are issued. You may continue using the platform until the end of your subscription period.
- Annual plans: No partial refunds are given for unused months on annual plans, except in cases covered by the 7-day window above.
9.2 Course Payments (Student Payments on Your LMS)
Rawasi does not set or control refund policies for courses sold on your LMS platform. You, as the LMS owner, are solely responsible for defining and honoring your own refund policy toward your students. We recommend you publish a clear refund policy on your platform.
9.3 How to Request a Refund
To request a refund under section 9.1, contact us via WhatsApp or email within the applicable period, providing your payment details and reason for the request. We will respond within 5 business days.
10. Termination
Either party may terminate the service agreement at any time by providing written notice (WhatsApp or email is acceptable). Upon termination:
- You will retain access to the platform until the end of the current paid period.
- Rawasi will provide you with a data export of your platform content upon request, submitted within 14 days of termination.
- Rawasi reserves the right to immediately suspend or terminate service without refund if you violate these Terms, particularly regarding illegal use or non-payment.
11. Changes to These Terms
Rawasi reserves the right to update these Terms at any time. Updated Terms will be posted on this page with a revised date. For material changes, we will make reasonable efforts to notify active clients via WhatsApp. Continued use of the service after changes are posted constitutes acceptance of the new Terms.
12. Governing Law & Dispute Resolution
These Terms are governed exclusively by the laws of the Arab Republic of Egypt. Any dispute arising from these Terms or the use of Rawasi's services shall first be attempted to be resolved amicably between the parties. If no resolution is reached within 30 days, the dispute shall be submitted to the competent Egyptian courts in Cairo.
